Terms and Conditions – CheckPilot.ca

These Terms and Conditions (“Terms”) govern your access to and use of the CheckPilot platform and services, including the website checkpilot.ca and related applications (collectively, the “Service”).
The Service is operated by Check Pilot – Sugu World Inc. (“CheckPilot”, “we”, “us”, “our”).
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
These Terms should be read together with our Privacy Policy, which explains how we collect, use, store, and protect personal information.
1. Educational Use and Institutional Relationships
1.1 Educational purpose
The Service is primarily designed for use in educational settings, including K–12 school boards, schools, colleges, and aviation training organizations. It supports aviation-related learning, simulation, and certification-oriented training.
1.2 School boards and institutions
Where the Service is provided through a school board, school, or other educational institution (collectively, “Institution”):

The Institution is responsible for deciding whether and how the Service is used in its programs.

For K–12 use, CheckPilot generally acts as a service provider / processor on behalf of the Institution.
-
The Institution remains responsible for its own notices, consents, and compliance with applicable education and privacy laws.
1.3 Priority of separate agreements
If CheckPilot has a separate written agreement with an Institution and there is a conflict between that agreement and these Terms, the Institutional agreement will prevail for users covered by it.
2. Accounts, Identity, and Data Minimization
2.1 Types of users
The Service may be used by:

Students (including K–12 learners)
-
Educators and school staff
-
Institution administrators
-
Other adult learners and training participants (e.g., flight schools)
2.2 Student accounts (K–12)
For K–12 school board implementations:

Student accounts are typically created with anonymized or board-issued identifiers (for example, a student number or generic username).
-
We do not require student full legal names, personal email addresses, or dates of birth to be entered into the Service for school-board student accounts.
-
We rely on the Institution to provide or approve the identifiers used.
2.3 Educator and staff accounts
For educators and school staff:

We may collect name, work email, role, school and/or board for account management and support.
-
On the student-facing side of the platform, educators are generally represented by a digital ID, course code, or generic instructor label, not by their full names.
-
The mapping between educator identity and digital ID is managed securely by the Institution and/or CheckPilot and is not displayed publicly.
2.4 Other adult users
For adult learners (e.g., registered flight schools or direct customers), we may collect names, email addresses, organization names, and other contact details as described in our Privacy Policy.
2.5 Account security
You are responsible for:

Keeping your login credentials confidential;

Restricting access to the devices and browsers you use with the Service; and
-
Promptly notifying your Institution or CheckPilot of any suspected unauthorized access or security issue.
CheckPilot is not responsible for loss or damage arising from your failure to protect your credentials.
3. Privacy, Data Protection, and Data Location
3.1 Privacy Policy
Your use of the Service is subject to our Privacy Policy, which forms part of these Terms. It explains:

What information we collect;

How we use and protect it;
-
How long we keep it;
-
What rights users and Institutions have.
3.2 Minimal collection for students
For K–12 school board deployments, we design the Service on a data minimization basis:

We store only the student identifiers and learning data needed to deliver the program (such as course enrolment, lesson progress, and assessment results).

We do not store student full legal names, dates of birth, home contact details, or general web browsing history in the production learning environment.
3.3 No sale or targeted advertising
We do not:
-
Sell student or educator personal information;
-
Use student data for targeted advertising;
-
Build marketing profiles of children or educators based on their use of the Service.
3.4 Data location and storage
For K–12 school board and education-sector deployments:

Student and educator personal information processed on behalf of Institutions is stored and backed up on production systems located in Canada.
-
We do not routinely host, mirror, or transfer that personal information to servers outside Canada as part of normal operations.

Backups containing student and educator personal information are stored in Canadian data centres under our control or under contract with trusted providers that apply appropriate security safeguards.
3.5 Third-party service providers
We may use carefully selected third-party providers (for example, hosting providers, backup services, or security tools) to operate the Service. These providers are required by contract to:

Use personal information only to provide services to us;
-
Implement safeguards at least as strong as ours;
-
Not use student or educator data for their own marketing or profiling.
3.6 Rights and access
Depending on your role and the laws that apply, you may have rights to access, correct, or request deletion of personal information. For K–12 students, these rights are typically exercised through the Institution (for example, your school board), and we act on instructions from that Institution.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in a manner consistent with:

These Terms;
-
Applicable laws and regulations;
-
Your Institution’s policies and codes of conduct.
You agree not to:
-
Attempt to gain unauthorized access to the Service, other accounts, or related systems or networks;

Interfere with or disrupt the operation of the Service (for example, by introducing malware, attempting denial-of-service attacks, or circumventing security controls);
-
Upload, share, or create content that is illegal, harassing, defamatory, discriminatory, or otherwise inappropriate in an educational context;
-
Impersonate another person or misrepresent your affiliation with any person or organization;
-
Reverse-engineer, decompile, or attempt to extract source code, except where permitted by law;
-
Use the Service to send spam or unsolicited commercial messages.
We may suspend or terminate access to the Service for violations of these Terms or applicable law.
5. Service Availability and Changes
5.1 Availability
We aim to keep the Service available and functioning reliably, but we do not guarantee uninterrupted or error-free operation. The Service may be unavailable or limited due to:

Scheduled maintenance or updates;
-
Network or infrastructure issues;
-
Events outside our reasonable control (such as power outages, internet disruptions, or force majeure events).
5.2 Changes to the Service
We may modify, enhance, or discontinue elements of the Service from time to time, for example by adding or removing features, provided that we continue to meet our contractual commitments to Institutions.
Where changes are material for existing educational clients, we will provide reasonable notice to the Institution where practical.
6. Intellectual Property
6.1 Our content
All content and materials made available through the Service—including text, graphics, logos, icons, images, videos, software, and course content—are owned by CheckPilot, its licensors, or its partners and are protected by copyright, trademark, and other intellectual property laws.
6.2 License to use the Service
Subject to these Terms and any applicable Institutional agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for educational and training purposes only.
You may not:
-
Copy, modify, distribute, publicly display, or create derivative works from the Service or its content, except where permitted by us or by law;
-
Remove or alter any copyright, trademark, or proprietary notices.
6.3 User-generated content
Students and educators retain ownership of original work they create and upload to the Service (for example, assignments, notes, or lesson content), except where otherwise agreed with an Institution.
By uploading or submitting content, you grant CheckPilot a limited license to host, process, and display that content solely as needed to operate the Service and support the educational program.
7. Third-Party Services and Links
The Service may integrate with or link to third-party platforms and services (for example, video-conferencing tools, learning management systems, or external resources).

These third-party services are not controlled by CheckPilot.

Their own terms and privacy policies apply to your use of them.

We are not responsible for the content, availability, or practices of third-party services.
Institutions are responsible for assessing and managing the use of third-party tools in their learning environments.
8. Disclaimers
To the maximum extent permitted by law, the Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including without limitation:

Implied warranties of merchantability, fitness for a particular purpose, non-infringement, and title;
-
Any warranty that the Service will be uninterrupted, secure, or error-free;
-
Any warranty that the content or results available through the Service will meet your needs or expectations.
Some jurisdictions do not allow the exclusion of certain warranties; in such cases, some of the above exclusions may not apply to you and will be limited to the extent permitted by applicable law.
9. Limitation of Liability
To the fullest extent permitted by law:

CheckPilot and its affiliates, officers, directors, employees, and agents are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or in connection with your use of (or inability to use) the Service.

In any event, CheckPilot’s total cumulative liability to you arising out of or in connection with the Service will not exceed:

The amount paid (if any) by your Institution or organization for your access to the Service in the twelve (12) months before the event giving rise to the claim
-
These limitations apply whether claims are based in contract, tort, negligence, strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.
10. Indemnification
To the extent permitted by law, by using the Service you agree to indemnify and hold harmless Check Pilot – Sugu World Inc., and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

Your breach of these Terms;

Your misuse of the Service; or
-
Your violation of any law or third-party rights in connection with your use of the Service.
For Institution-wide use, indemnification obligations may be further defined in a separate written agreement between CheckPilot and the Institution.
11. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law rules.
You agree that any dispute arising out of or relating to these Terms or the Service will be submitted to the exclusive jurisdiction of the courts of Ontario, Canada, unless a separate written agreement with an Institution specifies otherwise.
12. Changes to These Terms
We may update or modify these Terms from time to time, for example to:

Reflect changes to the Service;

Address legal, regulatory, or security requirements; or
-
Improve clarity and alignment with our Privacy Policy.
When we make material changes:

We will update the “Last updated” date at the top of these Terms; and
-
For educational clients, we will provide reasonable notice to the relevant Institution where the changes materially affect how personal information is handled or how the Service operates in the classroom.
Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.

14. Entire Agreement
These Terms, together with our Privacy Policy and any applicable written agreement with an Institution, constitute the entire agreement between you and CheckPilot regarding your use of the Service and supersede all prior or contemporaneous agreements or understandings relating to the Service.
